Entrepreneur, the Angel Investor and the Lawyer.

Starting a company can be difficult.  Going to the next step to get market
validation is likely to be a challenge because you need financing. Your
company, however, is not quite ready for Venture Capital funding.  Seed
Financing is your optimal choice and it is most often gathered from family,
friends or even Angel Investors.

Do you know how such financing is done and how to manage the
process?  Naturally each side has their own expectation.  We invite you to
learn more about this type of financing and how to manage the process.

This chat will cover the basics of seed financing for both U.S. and
offshore companies.  Topics covered will include:

BIO's

Henry H. Wong,
Chairman & CEO, Packet Island
A serial entrepreneur and venture capitalist, Henry brings a broad mix of
startup, operations, and investment experience to Packet Island. Henry
has had several successes including SS8 Networks Inc., IP
Communications, XaQti Semiconductor, CNet Technology Inc., and
Combinet (ISDN Systems). In 2002, Henry was a finalist to receive the
"Entrepreneur of the Year Award". He is an Advisor to 6 non-profit
organizations and is actively involved with community events. Besides his
executive role at Packet Island, Henry stays involved in venture capital by
being a venture partner at Garage Technology Ventures. Prior to Garage,
Henry founded and managed Diamond TechVentures, a China focused
investment fund. Prior to Diamond TechVentures, Henry managed Crystal
Ventures where he was actively involved with portfolio companies
including SMIC, LGC Wireless, and Infinera. Henry received a B.Sc.
degree in Business from University of Utah and a MBA in Telecom
Management from Golden Gate University.

Steven D. Kam, Managing Director at Cogent Valuation where he
provides advisory services to private and public companies, fiduciaries,
and government agencies, and serves as project manager for valuations,
financial opinions, securities design and corporate financings.  Many of
his clients are early-stage technology and life sciences companies.  He
has practiced corporate finance and financial advisory at Sutro & Co.,
Houlihan Lokey and Houlihan Valuation Advisors in San Francisco, and at
Underwood Neuhaus in Houston.  Mr. Kam is a board member of the San
Francisco chapter of ACG, a member of the San Francisco Estate
Planning Council and a member of Keiretsu Forum, the largest angel
investor network in the United States.  Mr. Kam has auhtored and co-
authored numerous articles and studies, including the Study and paper
co-authored by VentureOne entitled: "The Pricing of Successful Venture
Capital Backed High Tech and Life Sciences Companies" that has been
published in September 1998 issue of the Journal of Business Venturing
and in the Spring 1999 issue of the Journal of Private Equity.  Most
recently, he coauthored an article entitled "The Valuation of Litigation,"
published in the March/April issue of Valuation Strategies.  Mr. Kam
received a B.B.A. in Finance at Florida Atlantic University and an M.B.A. in
Finance at the University of Houston.  He is an Accredited Senior
Appraiser with the American Society of Appraisers.

Jeff Yu, Managing Director, The Angels' Forum
Jeffrey Yu recently joined The Angels’ Forum as Managing Director.  He
has spent the last 10 years working with and investing in early stage
companies such as Avici Systems, Dust Networks, Fultec
Semiconductors, Paxera Corp., and Zolo Technologies.  Prior to joining
The Angels’ Forum, Jeff was a Principal at Crescendo Ventures from
2000 to 2007 where he focused on investments in enabling technologies
such as semiconductors, optical systems and networking solutions.

From 1990 – 2000, he held various responsibilities at Nortel Networks
including R&D, new product introduction, network planning, product
management and business development. Before his work at Nortel
Networks, Jeff developed ultrasonic techniques for testing materials at
the Industrial Materials Institute of Canada; and prior to that worked as a
software engineer for CAE Electronics. Jeff holds both a Master's and
Bachelor's degree in Electrical Engineering from McGill University.

Fred Greguras, J.D. Of Counsel, Fenwick & West, LLP
Fred M. Greguras is of counsel in the Corporate, Technology
Transactions and China Practice Groups at Fenwick & West LLP, a law
firm specializing in high technology matters. He practices out of the firm’s
Mountain View, California, office. Mr. Greguras focuses on strategic legal
issues for software, semiconductor-related and life sciences companies.
His practice includes start-up issues and financings in both domestic
and international transactions. He has represented a wide range of
companies in financing, M&A, licensing and other commercial
transactions, from privately held start-ups to publicly traded companies.
Mr. Greguras has also been a venture capitalist and a general counsel
and CFO for a startup. Some of the clients he has represented are:
BioMarker Pharmaceuticals, Inc., Excite@Home, Exodus
Communications, Inc., Kintana, Inc., PayEase Corp., Speedera Networks,
Inc. Mr. Greguras has authored many articles on China business and
legal issues, start-up, financing, outsourcing, Internet and international
legal issues, which are available at www.fenwick.com. He received a BA
in mathematics from University of Omaha in 1966, a MS in mathematics
and computer science in 1968, and his J.D. in 1975 from the University of
Nebraska. Mr. Greguras is a member of the State Bar of California.
